Gelonghui, June 9 — Tianyuan Healthcare (00557.HK) announced that on June 9, 2026, Hengqin Hanyuemei (an indirect wholly-owned subsidiary of the Company) entered into a share transfer agreement with the buyer, Shenzhen Zehua International Trade Co., Ltd., pursuant to which Hengqin Hanyuemei has conditionally agreed to sell, and the buyer has conditionally agreed to acquire, the target equity interest for a consideration of RMB 23 million. The subject of the transfer under the share transfer agreement is the 60.8077% equity interest in the target company, Shanghai Rifushi Industrial Co., Ltd., held by Hengqin Hanyuemei (representing registered capital of RMB 21,619,811) (the "Target Equity")

Gelonghui, April 20th ─ Tianyuan Medical (00557.HK) announced that on April 20, 2026, Deshang Outpatient Clinic (an indirectly non-wholly owned subsidiary of the company) entered into the 2026 Service Framework Agreement with Ningxia Tianyuan. The term of the agreement is from the signing date of the 2026 Service Framework Agreement (i.e., April 20, 2026) to December 31, 2026, inclusive of both start and end dates.
