Joyrich Holdings (00653) announced that on February 6, 2026, the company entered into a subscription agreement with each of the subscribers (Mr. Gao Jianxing and Mr. Zhang Yu). The subscribers conditionally agreed to subscribe, and the company conditionally agreed to issue a total of 109 million subscription shares at a subscription price of HKD 0.105 per share in cash, representing a total subscription consideration of approximately HKD 11.4 million, subject to the terms and conditions set forth therein.
