About JOIN-SHARE Company

We, Guangdong Zhongying Shengda Financing Guarantee Investment Co., Ltd. ("Guangdong Zhongying Shengda," "the Company," or "we"), together with our subsidiaries, are collectively referred to as "the Group," "the Group," or "we." We are a leading provider of financing guarantee services in Guangdong Province, People's Republic of China ("China"), specializing in delivering credit‑based financing solutions to small, medium, and micro enterprises ("SMEs") to meet their funding and business needs. Since our establishment in Foshan, Guangdong, in 2003, we have significantly expanded our branch network, covering major cities across Guangdong Province and establishing a presence in several cities in Anhui Province as well. We primarily provide guarantees to SMEs and individual business households, as well as offer entrusted loans to them. In addition, since July 2011, through Foshan Zhongying Shengda Microfinance Co., Ltd. ("Foshan Microfinance"), we have been extending microloans to SMEs, individual business households, and individuals within the Foshan region, and in June 2014, we merged this entity into our Group. We have cultivated strong cooperative relationships with numerous banks and non‑bank financial institutions, diversifying our sources of client referrals, mitigating credit risks, and reinforcing our industry‑leading position in Guangdong Province. Our shareholder structure is diversified and dispersed, with no controlling shareholder. To ensure the independence of management in day‑to‑day operations, we have adhered from inception to prudent corporate governance, ensuring that the Company's business decisions remain free from interference by any single shareholder ("Shareholder"). The Company's Board of Directors ("Board"), Supervisory Board ("Supervisory Board"), and our seasoned, highly reputable management team comprise professionals from diverse backgrounds, possessing expertise in finance, banking, accounting, and law. Currently, we have been assigned an AA corporate credit rating by CCXI Credit Rating Co., Ltd., with a stable outlook. The Company's share capital comprises domestic shares ("Domestic Shares") and H shares ("H Shares"), collectively referred to as "Shares." Our H shares were successfully listed on the Main Board of The Stock Exchange of Hong Kong Limited ("SEHK") on December 23, 2015 ("Listing"), laying a solid foundation for the Group's future development.
