Huijin Shares: Planning cash acquisition of 20% equity stake in Cooper New Energy; transaction remains uncertain
Gelonghui, May 22 — Huijin Holdings announced that the company is planning to acquire a 20% equity stake in Cooper New Energy for cash. Yu Chunsheng, a shareholder of Cooper New Energy, will delegate or transfer voting rights representing no less than 31% of the total shares, thereby ensuring that Huijin Holdings holds voting rights of at least 51%. Upon completion of the transaction, Cooper New Energy will become a majority-owned subsidiary. The transaction is expected to constitute a material asset reorganization, does not involve share issuance or related-party transactions, and will not result in a change of control. Due diligence, audit, and valuation work are currently underway, and the parties are negotiating transaction details. No definitive agreement has been signed yet, and the transaction remains subject to uncertainty. Trading in the company’s shares will not be suspended.
